Agency Agreement

Published Oct 27, 2026 · Last updated Oct 27, 2026

THIS AGENCY AGREEMENT (“AGREEMENT”) IS A BINDING CONTRACT BETWEEN THE MEDICAL TOURISM AGENCY THAT REGISTERS ON THE PLATFORM (“AGENCY,” “YOU,” OR “YOUR”) AND MEDIK TOUR PRIVATE LIMITED (“MEDIK TOUR,” “WE,” “US,” OR “OUR”). BY REGISTERING YOUR AGENCY AND ACCEPTING THIS AGREEMENT, YOU CONFIRM THAT YOU ARE AUTHORISED TO BIND THE AGENCY AND THAT THE AGENCY AGREES TO BE BOUND BY IT. IF YOU DO NOT AGREE, DO NOT REGISTER.

This Agreement is supplemental to Medik Tour’s Terms and Conditions, Privacy Policy, and Refund & Cancellation Policy, each published on the Platform. Where this Agreement conflicts with them as to an Agency Package, this Agreement controls.

1. Definitions

  • “Platform” means the Medik Tour website and the agency portal.
  • “Patient” means the individual for whom the Agency submits a Case.
  • “Case” means a Patient’s details and treatment request that the Agency submits through the agency portal.
  • “Hospital” means the hospital, clinic or practitioner that provides the treatment in a Package.
  • “Package” or “Agency Package” means the all-in offer that Medik Tour prepares for a Case, made up of the treatment and any accommodation, transport, entry paperwork and clearances, and other services Medik Tour includes.
  • “Package Price” means the total price of the included lines of a Package, in the currency shown.
  • “Patient Information” means information about a Patient, including health information.

2. Parties, Registration and Approval

This Agreement is between Medik Tour Private Limited, having its registered office at Flat No. 7, First Floor, New Abpara Arcade, G-6/1, Islamabad, Pakistan, and the Agency identified at registration. It takes effect when Medik Tour approves the Agency’s registration, and continues until it is ended under Section 15. Medik Tour may refuse or withdraw approval at its discretion, for example if the Agency’s licence or details cannot be verified. The Agency may submit Cases only while it is approved. The Agency shall keep its registration details accurate and shall not let anyone who is not authorised use its account.

3. Nature of the Relationship; Medik Tour as Seller

For every Agency Package, Medik Tour is the seller and the merchant of record. Medik Tour contracts with the Agency in its own name, sets the Package Price, issues the invoice and receipt, and receives the payment. The Hospital that provides the treatment is Medik Tour’s supplier; it is not a party to the sale of the Package, and it does not contract with, invoice, or receive payment from the Agency.

The Agency is an independent business. It is not an agent, employee or partner of Medik Tour or of any Hospital, and it has no authority to bind either of them or to make promises about treatment, prices, visas or outcomes on their behalf. What the Agency charges its own Patient is a matter between the Agency and the Patient; Medik Tour does not set it and is not responsible for it. Nothing in this Agreement entitles the Agency to a commission from Medik Tour. Any commission arrangement exists only if Medik Tour agrees it in writing.

4. Cases, Patient Consent and Accuracy

Patient Information travels in a chain: from the Agency to Medik Tour, and from Medik Tour to the Hospital and to the other providers involved in the Package (such as accommodation, transport, and the visa, embassy and ministry offices), who may be in other countries. Before it submits a Case, the Agency must have the Patient’s informed, explicit and documented consent to every step of that chain, including the sharing of health information and its transfer across borders. The Agency confirms this each time it submits a Case, and the wording it confirms is recorded with the Case.

The Agency shall: (a) obtain that consent in a form it can prove, and keep the record for as long as the law requires and in any event until the Package is finished; (b) give Medik Tour a copy of the record on request; (c) tell Medik Tour at once if a Patient withdraws consent, in which case Medik Tour will stop using the Patient Information for new purposes, which may mean the Package cannot be provided; (d) submit only accurate and complete information, including medical history and any conditions relevant to the treatment or to travel; and (e) comply with the data protection and medical confidentiality laws that apply to it.

Medik Tour will use Patient Information only to prepare and provide the Package, and will share it only with the Hospital and the other providers needed for that purpose, as described in its Privacy Policy.

5. Packages and Package Price

When the Agency submits a Case, Medik Tour may ask one or more Hospitals for a quotation and will then prepare a Package. The Package shows the Package Price and the lines included in it. Medik Tour decides what a Package includes and its price, and is not obliged to make a Package for any Case. A Package is valid until the date shown on it, and Medik Tour may withdraw it before it is accepted.

Medik Tour will tell the Agency the name and accreditations of the Hospital where it has decided to do so. Medik Tour does not disclose the Hospital’s price to the Agency, nor the components of the Package Price that Medik Tour keeps for itself, and the Agency has no right to know them. The Package Price is a single price for what the Package includes, and the Agency shall not ask the Hospital for its price.

The Agency accepts or declines a Package through the agency portal. Acceptance forms a binding purchase of the Package by the Agency from Medik Tour at the Package Price, on the terms of this Agreement. An accepted Package may be changed only as Medik Tour agrees in writing.

6. Payment

The Agency shall pay the Package Price to Medik Tour as shown on Medik Tour’s invoice, in the currency and by the method and on the dates stated on it. Medik Tour issues the invoice and receipt as seller. Taxes, bank charges and any currency conversion costs on the Agency’s side are the Agency’s responsibility. Medik Tour may postpone or stop work on a Package until payment due has been received.

7. Visa, Embassy and Ministry Approvals

Medik Tour supports visa, embassy and ministry steps, but cannot guarantee approval. Where an Agency Package includes entry paperwork or clearances, Medik Tour supports the Patient’s visa application, the embassy no-objection certificate (NOC) steps and the Health Ministry NOC steps — for example by preparing document checklists, obtaining the Hospital’s invitation and treatment letters, and following up with the office concerned. Every visa, NOC or other approval is decided solely by the embassy, ministry or other authority concerned. Medik Tour cannot and does not guarantee that any visa, NOC or approval will be granted, granted by a particular date, or granted without conditions, and Medik Tour is not liable for a refusal, a delay, or a condition imposed by an authority.

The Agency and the Patient are responsible for the accuracy and completeness of the information and documents they provide, and for providing them on time. An incomplete, inaccurate or late submission can lead to refusal.

8. Cancellation, Visa Refusal, Partial Treatment and Refunds

The following rules decide what is refunded for an Agency Package:

  • Visa or NOC refusal. A refusal of a visa, an embassy NOC or a Health Ministry NOC does not, by itself, entitle the Agency to a refund. If asked, Medik Tour will work with the Agency to change the Package — for example a new application, a different date, or a different treatment or Hospital — and will tell the Agency in writing what any change would cost. If the Package is not changed and the Patient does not travel, the rule below applies as if the Patient had cancelled.
  • Treatment not carried out, only partly carried out, or cancelled by the Patient. Medik Tour deducts from the amount paid (a) the treatment cost, being the cost of the treatment actually carried out, and (b) the transfer cost, being the cost of the transfers already provided or irrevocably booked. The remaining amount is returned to the Agency.
  • Statement and timing. Medik Tour gives the Agency a written statement showing the amount paid, each deduction, and the remaining amount. Medik Tour returns the remaining amount within fourteen (14) days after it has confirmed the final figures, by the method of the original payment where possible.

Apart from the rules above, no refund is due for a Package, except where applicable law requires otherwise or Medik Tour agrees in writing.

9. Medical Responsibility

MEDIK TOUR IS NOT A HOSPITAL, CLINIC OR HEALTHCARE PROVIDER AND DOES NOT PRACTISE MEDICINE OR PROVIDE MEDICAL ADVICE. The Hospital is an independent third party and is solely responsible for the medical services it provides, including diagnosis, treatment, informed consent, complications, follow-up care and outcomes. Medik Tour does not guarantee any treatment result. The Agency shall not give a Patient the impression that Medik Tour provides medical advice or guarantees outcomes.

10. Non-Circumvention

For twenty-four (24) months from the date the Agency submits a Case, the Agency shall not knowingly arrange the treatment of that Patient with the Hospital, or with any Hospital introduced to it by Medik Tour, outside Medik Tour for the purpose of avoiding the Package Price or Medik Tour’s role. This does not apply to a Patient who becomes that Hospital’s patient through a channel unconnected to Medik Tour.

11. Confidentiality

Each party shall keep the other’s non-public information confidential, and shall use it only for this Agreement. This includes the Hospital’s identity where Medik Tour has not disclosed it, the way Packages are priced, and the content of any quotation. This does not apply to information that is public through no fault of the receiving party, or that the law requires it to disclose.

12. Patient Data Protection

Each party is independently responsible for its own compliance with the data protection laws that apply to the Patient Information it holds. Each shall protect Patient Information with security measures suited to its sensitivity, shall use it only for the purposes in this Agreement, and shall tell the other without undue delay, and within seventy-two (72) hours, of becoming aware of any unauthorised access to or loss of Patient Information that came from the other. Each shall reasonably help the other respond to a Patient’s request about their information.

13. Warranties and Indemnity

The Agency warrants that it is a legally established business, that it holds every licence it needs to carry out its business in its country, that the information it gives is accurate, and that it holds the consent described in Section 4. The Agency shall indemnify Medik Tour against claims, losses and costs (including reasonable legal costs) arising from the Agency’s breach of Section 4, from information it gave that was false or incomplete, or from anything it told a Patient that Medik Tour did not authorise.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIK TOUR’S TOTAL LIABILITY TO THE AGENCY ARISING OUT OF OR RELATING TO A PACKAGE SHALL NOT EXCEED THE PACKAGE PRICE ACTUALLY PAID FOR THAT PACKAGE. MEDIK TOUR IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL LOSS, INCLUDING LOST PROFIT, LOST BUSINESS OR REPUTATIONAL HARM, OR FOR THE DECISIONS OF ANY EMBASSY, MINISTRY OR OTHER AUTHORITY, OR FOR THE CLINICAL DECISIONS OR CONDUCT OF A HOSPITAL. Nothing in this Section excludes or limits any liability that cannot lawfully be excluded or limited under the laws of Pakistan.

15. Term and Termination

Either party may end this Agreement by written notice. Medik Tour may suspend or end it immediately if the Agency breaches Section 4, 10 or 13, or its approval is withdrawn. Ending this Agreement does not affect a Package already accepted, which continues on these terms until it is complete, and Sections 4, 8 and 10 to 14 survive.

16. Dispute Resolution and Governing Law

This Agreement is governed by the laws of the Islamabad Capital Territory, Pakistan, without regard to conflict-of-laws principles. The parties will first try in good faith to resolve any dispute by direct negotiation between authorised representatives within thirty (30) days of written notice of the dispute. If it is not resolved, the dispute is subject to the exclusive jurisdiction of the courts of Islamabad, Pakistan, except that either party may seek urgent relief in any court of competent jurisdiction to protect its confidential information.

17. General

This Agreement, with the documents it refers to, is the whole agreement between the parties on its subject. Medik Tour may change it by giving notice on the Platform; a change applies to Packages accepted after the notice, and the Agency may end this Agreement if it does not agree. The Agency may not assign this Agreement without Medik Tour’s written consent. If part of it is unenforceable, the rest continues.
